Terms of Service

Effective Date: July 28, 2026

1. Acceptance of Terms

Welcome to Nujoom.

These Terms of Service (“Terms”) govern your access to and use of Nujoom (the “Service”), which is owned and operated by Quantel IO LLC, a Wyoming limited liability company (“Company,” “we,” “our,” or “us”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Nujoom is an AI-powered content operating system designed for creators, businesses, agencies, and marketing teams.

The Service may include features such as:

  • AI-assisted content creation
  • Brand knowledge and memory management
  • Content planning and scheduling
  • Social media publishing
  • Analytics and reporting
  • Direct message automation
  • Lead capture and workflow automation
  • AI agents and automations
  • Third-party integrations

Certain functionality depends on third-party platforms and providers, including but not limited to Meta (Facebook, Instagram, Threads), TikTok, LinkedIn, Google, OpenAI, OpenRouter, Anthropic, ElevenLabs, Apify, Supabase, Cloudflare, and Vercel.

Those providers may modify, suspend, limit, or discontinue their services at any time, which may affect features within Nujoom.

3. Eligibility

You must be at least thirteen (13) years old to use the Service, or sixteen (16) years old where required by applicable law.

By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

4. Your Account

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activity that occurs under your account;
  • providing accurate information;
  • keeping your information up to date.

You must immediately notify us if you believe your account has been compromised.

We are not responsible for losses resulting from unauthorized use of your account caused by your failure to protect your credentials.

5. Connected Platform Accounts

Nujoom allows you to connect supported third-party platform accounts using OAuth or other authorized authentication methods.

By connecting an account, you authorize Nujoom to perform the actions permitted by the permissions you grant, including:

  • publishing content;
  • scheduling posts;
  • retrieving analytics;
  • reading comments and mentions;
  • sending direct messages through automations you configure;
  • performing other actions necessary to provide requested features.

You may revoke authorization at any time through the applicable platform or by disconnecting the account within Nujoom.

You remain solely responsible for complying with the terms, community guidelines, developer policies, and applicable laws governing any connected platform.

Quantel IO LLC is not responsible for account suspensions, restrictions, API limitations, policy changes, or enforcement actions taken by third-party platforms.

6. User Content

You retain ownership of all content, prompts, media, documents, brand assets, and other materials you upload, create, or submit through the Service (“User Content”).

You grant Quantel IO LLC a limited, non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, transmit, display, and use your User Content solely as necessary to operate, secure, improve, and provide the Service.

You represent and warrant that you possess all rights necessary to upload and use your User Content.

7. AI Features

Nujoom uses artificial intelligence provided by third-party AI services.

AI-generated output may contain inaccuracies, omissions, outdated information, or other errors.

You are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before publishing, distributing, relying upon, or otherwise using it.

Quantel IO LLC does not guarantee the accuracy, originality, legality, availability, or suitability of AI-generated output.

8. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law or regulation;
  • infringe intellectual property rights;
  • violate privacy rights;
  • impersonate another individual or organization;
  • distribute malware or malicious software;
  • conduct phishing or fraudulent activity;
  • send spam or unauthorized bulk communications;
  • circumvent authentication, security measures, or rate limits;
  • interfere with the operation of the Service;
  • attempt unauthorized access to systems or accounts;
  • reverse engineer, copy, or exploit the Service except where permitted by law;
  • violate the terms or policies of any connected third-party platform.

We reserve the right to investigate violations and suspend or terminate accounts engaged in prohibited activity.

9. Intellectual Property

Except for User Content, the Service and all associated software, source code, interfaces, workflows, algorithms, documentation, graphics, trademarks, branding, designs, and other intellectual property are owned by Quantel IO LLC or its licensors.

Nothing in these Terms transfers ownership of any Company intellectual property to you.

10. Fees and Subscriptions

Certain features may require payment.

Pricing, billing frequency, and included features will be disclosed before purchase.

Unless otherwise stated:

  • subscriptions automatically renew until canceled;
  • you may cancel before your next renewal;
  • fees are non-refundable except where required by applicable law;
  • applicable taxes may be added where required.

Some features rely on third-party providers that may charge separate fees. Those fees are solely between you and the applicable provider.

11. Service Availability

We strive to provide a reliable service but do not guarantee uninterrupted, secure, timely, or error-free operation.

The Service may be modified, updated, suspended, or discontinued at any time.

Maintenance, outages, software updates, internet failures, and third-party platform changes may affect availability.

12. Third-Party Services

The Service integrates with third-party platforms and providers.

We are not responsible for:

  • the availability of third-party services;
  • third-party content;
  • API changes;
  • platform outages;
  • account suspensions;
  • changes to third-party policies;
  • fees charged by third-party providers.

Your use of those services remains subject to their respective terms and privacy policies.

13. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access if:

  • you violate these Terms;
  • you violate applicable law;
  • your use creates security risks;
  • your use harms other users or the Service;
  • we are required to do so by law.

Upon termination, your right to use the Service immediately ends.

Sections that by their nature should survive termination shall remain in effect.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

QUANTEL IO LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTEL IO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(b) ONE HUNDRED UNITED STATES DOLLARS (US$100).

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Quantel IO LLC, its officers, members, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of any law or third-party rights.

17. Force Majeure

Quantel IO LLC shall not be liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet outages, cloud provider failures, cyberattacks, pandemics, utility failures, or failures of third-party services.

18. Changes to the Service or Terms

We may modify the Service or these Terms from time to time.

Material changes will be posted with an updated effective date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Nothing in these Terms limits any non-waivable consumer rights available under the laws of your jurisdiction.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Quantel IO LLC regarding the Service.
